SCAPEGOAT TERMS OF SERVICE

Welcome to Scapegoat. Please read these Terms of Service ("Terms") carefully before using our dynamic intake forms or rate calculation tools (collectively, the "Services") embedded on this website.

By submitting information or requesting a fulfillment quote via the Services, you (“User”, “Client”, or “Brand”) agree to be bound by these Terms. If you do not agree to these Terms, do not utilize the Services.

1. NATURE OF SERVICES AND THE SCAPEGOAT NETWORK

The Services are powered by Scapegoat, an independent technology provider that operates a collective logistics optimization marketplace and lead-routing ecosystem known as the "Vacancy Chain". Scapegoat partners with a regional network of independent third-party logistics (3PL) warehouse providers (each a "Network Partner").

The Services are designed to dynamically calculate real-time estimated fulfillment rates based on the operational profile metrics provided by the User.

3. NON-BINDING ESTIMATES & SCOPE OF WORK

Non-Binding Estimates: All real-time dynamic pricing, whether displayed on-screen, delivered by email, or generated in an automated PDF, constitutes a good-faith operational estimate based on the information submitted by the User. Such estimates are not binding quotes, offers, or final pricing commitments.

Final Scope of Work: Dynamic rates presented through the Services do not create a final binding contract for logistics services. Final pricing, service obligations, and commercial terms are subject to further review, physical or operational verification of the User’s inventory and fulfillment profile, and a mutually executed written agreement or Scope of Work (SOW) between the User and the applicable Network Partner.

4. DATA USE AND AUTHORIZED PROCESSING

Authorized Processing: User authorizes Scapegoat, the Host 3PL, and matched Network Partners to collect, process, use, and disclose the submitted business contact information and logistics profile information for the limited purposes of evaluating operational fit, generating estimated pricing, facilitating business introductions, and following up regarding fulfillment services requested by the User.

Data Restriction: Scapegoat does not sell submitted information to data brokers or third-party advertising companies and does not use submitted logistics profile information for cross-context behavioral advertising. Scapegoat may disclose submitted business contact information and logistics profile information to the Host 3PL and matched Network Partners solely for quote evaluation, business introduction, and related follow-up regarding the fulfillment services requested by the User. 5. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Scapegoat is not responsible for the physical warehousing operations, inventory handling, fulfillment performance, delays, losses, damages, billing disputes, or contractual obligations of any independent Network Partner. Each Network Partner operates as an independent business and is solely responsible for the logistics services it agrees to provide under its own agreement with the User. Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including liability arising from Scapegoat’s fraud, willful misconduct, or violation of law.

6. GOVERNING LAW

These Terms shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of California.
